  • Areas of expertise include counseling family owned and other closely held businesses in all aspects of business and corporate law, partnership and limited liability company law, the buying and selling of businesses, acquisition of franchises, commercial transactions, corporate counseling, sale and leasing of commercial real estate, including commercial leasing, agreements with real estate brokers, and real estate auctions.
  Listed in “Best Lawyers in America” as one of best corporate lawyers in the State of New Jersey.
 
Law Related Activities:

 
  •  Member of Board of Trustees of the Corporate and Business Law Section of the New Jersey State Bar Association, 1979 to the present.
 
  • Lecturer for the New Jersey Institute of Continuing Legal Education (the “ICLE”) on the topics of the organization, purchase and sale of businesses.
 
  • Member of ICLE’s Curriculum Advisory  Committee, 1989-1997.
 
  • Lecturer for the New Jersey State Bar Association, the New Jersey State Bar Foundation, the New Jersey State Society of Certified Public Accountants, The CPA Club of New Jersey and to various accounting firms for continuing professional  educational credits, on various topics, including, formation of businesses, the sale and purchase of businesses, acquisition of franchises, shareholder buy-sell agreements, second stage financing of closely held corporations, and commercial leasing.
  • New Jersey Real Estate Commission approved instructor to real estate brokers and sales representatives for two three hour “core” courses to satisfy their mandatory continuing education requirements. One course is on Listing Agreements of Commercial Properties for sale or lease, and the other is on Commercial Leases and Personal Guaranties.
 
  • Author, “Safeguarding The Buyer’s Claims Against the Seller and its Shareholders Arising After a Business has been Purchased for All Cash“, April 1997 issue of M & A Today, reprinted with permission of M & A Today, in the April ’97 issue of the Newsletter of the Corporate and Business Law Section of the New Jersey State Bar Association. Also,”Safeguarding the Buyer’s Post-Closing Claims for Indemnification” in the December 2002 issue of the New Jersey lawyer and “Preparing Your Business for Financing” in the April 2003 issue of the “Forum”, the national publication of Renaissance Executive Forums.
 
  • A Member, 1977-1983, of three person committee which authored the New Jersey Nonprofit Corporation Act,  Title 15A, which became law on October 1, 1983.  Lecturer for ICLE on Title 15A
